Such motion was made by Larry Flesher 2nd by Cyndie Enfinger

The NC stated that the Election Committee's request was not in the proper format and requested Larry Flesher and Cyndie Enfinger to withdraw the motion.

Due to the time sensitive nature of this request, may I hear a motion to confirm the below slate of Election Committee members?

The EC respectfully submits the following slate of prospective EC Members for your approval/disapproval, per Election Committee Procedures Section A, Item 2, par. 2:
"From the list of volunteers, the EC shall select new or replacement members for the EC. This list of volunteers shall then be submitted to the Advisory Board for approval and confirmation. The Advisory Board shall not be allowed to "pick and choose" any individual committee member. Should the Advisory Board disapprove the slate of members in its entirety, the process shall be repeated."

Should the AB approve of the submitted slate, the EC requests immediate seating of all new EC members.

Cyndie Enfinger pointed out, and objected to, the time frame allowed for response being 33 minutes.

The following has been submitted by the Special Fact Finding Study Group specified in Motion [07-12] and appointed in Motion 2007/08-01.

The committee has organized as follows:

Appointed Alice Gayley, Chair

The committee has initiated research into the following areas of possible organizational structures for the USGenWeb Project:

* Incorporate in any state as a non-profit (researching requirements for every state)

* Obtain an Agent for Service and/or register in one of the 12 states that recognizes unincorporated non-profit associations.

* Research the requirements to obtain tax exempt status under Section 501(c)(3) of the US code (necessary to obtain grants).

* Determine how to create/incorporate a "Friends of USGenWeb" organization that can solicit funds to on behalf of the USGenWeb to further our goal of putting genealogical data on line so that it is free to researchers.

Current activities:

Initiate identification and review of state requirements for incorporation

Provide a fact sheet to the AB with basic information for incorporation (or registration) in each state.

NOTE; The IRS recently published new requirements for obtaining 501(c)(3) status in 2008. Research will begin on the necessary steps. http://www.irs.gov/charities/charitable/article/0,,id=175419,00.html
