MOTION 07-07: DISMISS SOP COMMITTEE

I move that the SOP committee, having completed its work, be dismissed with sincere thanks to each participating member for the committee's significant contributions.

MINUTES:

Both the project webmaster and I lost contact with Donna Allen, Board Secretary, in December and have not been able to establish contact with her.

During the last two months I have worked to re-create the Advisory Board Minutes for November, December, January, and February with the assistance of a volunteer or two from the project.

MOTION 07-08: ACCEPTANCE OF MINUTES

Having read through the minutes, and not seeing any corrections that need to be made, nor having heard of corrections from any other Board members..........

I move that the Board minutes for November, December, January & February be approved as read.

As there have been no requests for corrections to the minutes, the Chair would ask for general consent that the minutes be approved as posted. If there are any objections to approving the minutes, please state them now. If there are no objections, the minutes for November, December, January, and February will be approved as posted.

PROPOSED BYLAW AMENDMENT (Composition of Advisory Board)

The members of KSGenWeb, who have sponsored a proposed amendment to the USGenWeb By-laws dated February 20, 2007 and which is posted on the USGenWeb Project website, have requested that their proposal be altered in it's final paragraph for clarification.

The alteration would be that the final paragraph, currently stating:

"As terms of State Coordinator Regional Representative positions expire they will be replaced with the positions of this amendment. The first two State Coordinator Regional Representative positions terms that expire will be replaced by the one (1) State Coordinator Representative to be elected by all State Coordinators and by one (1) at-large representative. The remaining two (2) State Coordinator Regional Representative positions, upon expiration of their term, will be replaced by two (2) at-large representatives."

be replaced with the following wording:

"As terms of State Coordinator Regional Representative positions expire they will be replaced with the positions of this amendment. When the terms of the State Coordinator Regional Representative positions for the Southeast/Mid-Atlantic region and the Southwest/South Central region expire in 2008 they will be replaced by two (2) at-large representatives positions designated RAL (A) and RAL (B) respectively.

When the term of the State Coordinator Regional Representative position for the Northeast/North Central region expires in 2009 it will be replaced by one (1) State Coordinator Representative position to be elected by all State Coordinators. When the term of the State Coordinator Regional Representative position for the Northwest/Plains region expires in 2009 it will be replaced by one (1) at-large representative position. This last at-large representative position created by this amendment and the existing at-large representative position in 2007 which term also will expire in 2009 will have positions designated RAL (C) and RAL (D) respectively."

As the alteration is one of implementation and not a change in intent or content, a withdrawal of the original proposal and resubmission is not required. The project webmaster is requested to post the alteration to the project website as soon as possible with the original paragraph shown marked out, the replacement paragraph following, and showing the date of the alteration.

Additionally, since TNGenWeb has indicated their willingness to be a co-sponsor for the original amendment, it will be necessary for TNGenWeb to indicate their acceptance of the altered wording of the final paragraph.

The TNGenWeb members were asked on 25 March if they wanted to re-poll on the "revised again version" the KSGenWeb (Don Tharp's) proposed amendment. Seems that the technical *latest* tweaking of the
implementation clause does not bother the members so their original vote of sponsorship of the KSGenWeb proposed amendment still stands.
